Acceptable Use Policy
This Acceptable Use Policy forms part of the Agreement between Northern Tech Hub Ltd (“Supplier”, “we”, “us”) and the Client (“you”). Capitalised terms that are not defined here have the meaning given to them in the Terms and Conditions.
If there is any conflict between this Acceptable Use Policy and the Terms and Conditions, the Terms and Conditions take precedence (see clause 17 of the Terms and Conditions).
This Acceptable Use Policy sets out what you may and may not do when using the Services. It applies to you and to everyone who uses the Services through your account, including your employees, agents and contractors. You are responsible for their compliance and remain liable for any breach by them.
The Services give you privileged administrative access to Microsoft 365 tenants — your own and, where applicable, those of your customers. Misuse of that access can affect your customers, their end users, other clients and the integrity of the Services. This Acceptable Use Policy exists to keep that access lawful and secure.
1. General obligations
You must:
- use the Services only for lawful business purposes and in accordance with the Agreement and the Documentation;
- comply with all applicable laws and regulations, including Data Protection Laws;
- comply with any terms imposed by Microsoft that apply to your use of the Microsoft 365 services; and
- only connect to, access or manage Microsoft 365 tenants that you are authorised to manage and for which you hold the necessary permissions and consents.
2. Authorisation and consent
Because the Services are used to administer tenants on behalf of your customers, you must:
- only use the Services to administer tenants where you have the lawful authority and the relevant customer’s authorisation to do so;
- obtain and maintain any consents needed to place our applications or Software on third-party accounts, including the accounts of your customers (see clause 2.2 of the Terms and Conditions); and
- not use the Services to access, monitor, collect from or interfere with any tenant, account, device or data that you are not authorised to manage.
3. Prohibited use
You must not use the Services to:
- break any law, or to enable or assist anyone else to do so;
- store, send or distribute material that is unlawful, defamatory, infringing, obscene or otherwise objectionable;
- infringe the Intellectual Property Rights of any person or business;
- process personal data without a lawful basis, or otherwise in breach of Data Protection Laws;
- harass, harm, defraud, impersonate or deceive any person; or
- gain, or attempt to gain, unauthorised access to any system, account, tenant, network or data.
4. Security
You must not:
- introduce or transmit any Virus or other harmful or malicious code;
- probe, scan, penetration-test or otherwise test the Vulnerability of the Services without our prior written consent;
- circumvent, or attempt to circumvent, any authentication, access control, usage limit or other security measure; or
- use the Services to develop, host or distribute malware, exploits or tooling intended to compromise systems.
You must keep your account credentials secure, prevent password sharing, and promptly notify us if you become aware of any unauthorised access to or use of the Services, any security incident affecting the Services, or any Vulnerability (see clause 2.5 of the Terms and Conditions).
5. Integrity and availability
You must not:
- interfere with or disrupt the Services, or the servers or networks that support them;
- place an unreasonable or disproportionate load on the Services;
- access the Services by automated means (including scraping, crawling or bots) other than through interfaces we provide; or
- access the Services in order to build a competing product or service, or to benchmark them for that purpose.
6. Restrictions carried over from the Terms and Conditions
For the avoidance of doubt, the use restrictions in clause 2.4 of the Terms and Conditions also apply under this Acceptable Use Policy. In particular, you must not copy, modify, create derivative works from, or reverse engineer the Software; resell, sublicense, distribute or otherwise make the Services or Documentation available to third parties; or use more Tenant Subscriptions than you have purchased.
7. AI features
Where the Services include AI Tools or produce Output, you must:
- remain responsible for reviewing and checking any Output before relying on it (see clause 7.1(g) of the Terms and Conditions);
- not use AI features to generate or distribute unlawful, harmful, deceptive or infringing content;
- not input any data into AI features that you do not have the right to use; and
- not attempt to extract, copy or reverse engineer any underlying model, or use the features to build a competing AI system.
8. Reporting
Tell us promptly at notices@northerntechhub.com if you become aware of:
- any actual or suspected breach of this Acceptable Use Policy;
- any unauthorised access to or use of the Services; or
- any Vulnerability or security incident affecting the Services.
9. Consequences of breach
Breach of this Acceptable Use Policy is dealt with under the Terms and Conditions, including the termination provisions in clause 13.3.
Separately, where we reasonably consider there is a risk to the Services, to other clients, or to any person’s data or rights, we may suspend or restrict your access to all or part of the Services while we deal with the matter. Suspension does not affect your obligation to pay the Fees.
10. Changes to this policy
We may update this Acceptable Use Policy from time to time in accordance with clause 16 of the Terms and Conditions. The current version is always the one published at https://northerntechhub.com/legal/acceptable-use-policy.
